Terms of Service
These Terms of Service govern access to and use of Marginly, an ecommerce profitability and analytics service for growing businesses. Please read them carefully before creating an account or starting a trial.
1. About Marginly
Marginly provides software that helps ecommerce businesses review sales, products, product costs, expenses, customers, revenue, profitability and related business information. Marginly may connect to Shopify and other services to import or process relevant store data. Marginly is a software tool, not an accounting, tax, legal, investment or financial advice service.
2. Eligibility and accounts
You must be at least 18 years old and able to enter a legally binding contract to use Marginly. If you use Marginly for a business, you confirm that you have authority to bind that business. You must provide accurate and current account information, keep your login credentials confidential, and tell us promptly if you suspect unauthorised access. You are responsible for activity carried out through your account.
3. Using Marginly
Subject to these Terms and payment of applicable charges, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use Marginly for your internal business purposes. You may use the dashboards, reports and calculations to support business decisions, but you must independently check important decisions against your own records and professional advice where appropriate.
4. Shopify and third-party integrations
If you connect Shopify or another third-party service, you confirm that you are authorised to grant Marginly access to the relevant store or account. You instruct Marginly to access, import, process and display the data needed to provide the connected features. Your use of those third-party services remains subject to their own terms and policies. We are not responsible for a third party changing, suspending or withdrawing an integration, or for data that a third party makes unavailable or provides inaccurately.
5. User data and permissions
You retain ownership of data and content you submit to or connect with Marginly. You grant us a limited licence to host, copy, process, transmit and display that data as reasonably necessary to operate, secure, maintain and improve the service, and to provide support. You are responsible for having the necessary rights, notices and permissions to provide the data, including any customer or employee information. Do not upload information that you are not permitted to use or disclose.
6. Subscriptions and billing
Marginly offers subscription plans currently priced at £19 per month, £39 per month and £79 per month, as shown on the applicable pricing or checkout page. Prices, included features and billing intervals may be identified or updated at checkout. Payments may be processed by Stripe or another payment provider. You authorise the applicable provider to charge the selected payment method for subscription fees, taxes where applicable, and any other amount properly due under these Terms. You must keep billing details current. Failed or overdue payments may result in restricted or suspended access after reasonable notice.
7. 14-day free trial
Marginly currently offers a 14-day free trial where stated at sign-up. Unless you cancel before the trial ends, the trial may automatically convert to the paid plan selected when you started it, and the payment method you provided may be charged for the first billing period. We will identify the applicable plan and price before or when you start the trial. You can cancel before the trial ends through the available account or billing controls, or by contacting the support route provided in the service.
8. Cancellation and termination
You may cancel a subscription at any time using the available billing controls or by contacting the support route provided in the service. Unless stated otherwise at checkout, cancellation takes effect at the end of the current paid billing period and you can continue using the paid features until then. We may suspend or terminate access if you materially breach these Terms, fail to pay, misuse the service, create a security or legal risk, or where we need to discontinue the service. Where reasonably practicable, we will provide notice and an opportunity to remedy a breach. You may stop using Marginly and request account closure at any time.
9. Refunds
Subscription charges are generally non-refundable for the unused part of a billing period after cancellation, except where these Terms, the checkout terms, or applicable law require otherwise. If a trial has converted to a paid subscription, cancel promptly and contact us if you believe a charge was made in error. Nothing in these Terms limits any statutory consumer rights that cannot lawfully be excluded.
10. Accuracy and reliance on information
Marginly calculations depend on the data available from connected services and the information you enter, including product costs, COGS, expenses, refunds and other assumptions. You are responsible for checking that information is complete, accurate and up to date. Analytics, estimates, insights and profitability calculations are provided for general informational business purposes only and are not guaranteed to be complete, accurate or suitable for your circumstances. They are not accounting records or professional advice, and you remain responsible for your accounting, tax filings, legal obligations and business decisions.
11. Service availability
We aim to keep Marginly available and useful, but we do not promise that it will be uninterrupted, error-free, secure at all times, or available in every location. The service may be unavailable or limited because of maintenance, updates, security incidents, internet or hosting failures, third-party services, events outside our reasonable control, or changes to the product. We may provide support and service updates through the product or the contact route made available to you.
12. Intellectual property
Marginly and its software, interfaces, branding, documentation, designs and underlying technology are owned by or licensed to us and are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no rights are transferred to you. You must not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from the service or any part of it, except where applicable law does not allow that restriction.
13. Prohibited use and misuse
You must not use Marginly to break the law, infringe another person’s rights, access data without permission, interfere with or overload the service, probe or bypass security controls, introduce malware, scrape or extract the service at scale, resell access without permission, submit misleading information, or use the service to build a competing product. We may investigate suspected misuse and take proportionate action to protect users, data and the service.
14. Privacy and data protection
We process personal data as described in our Privacy Policy. Depending on the data and how the service is used, you may act as a controller and Marginly may process certain information on your behalf as a processor. You are responsible for providing appropriate notices and having a lawful basis for data you connect or upload. We may use providers such as Shopify, Stripe, hosting infrastructure and email providers where needed to operate Marginly, subject to appropriate contractual and security arrangements.
15. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory rights as a consumer. Subject to that, Marginly will not be liable for indirect or consequential loss, loss of profits, revenue, anticipated savings, goodwill, business opportunity, data or reputation. To the fullest extent permitted by law, our total liability arising from or relating to the service or these Terms will not exceed the subscription fees you paid to Marginly for the 12 months before the event giving rise to the claim, or £100 if you have paid no fees. You are responsible for maintaining appropriate backups and for decisions made using the service.
16. Changes to the service and these Terms
We may change, improve, suspend or discontinue features of Marginly. We may also update these Terms when reasonably necessary, including to reflect product, legal or operational changes. We will post the updated Terms and, where appropriate, give reasonable notice. Changes will apply from the stated effective date. If you do not agree to a material change, you may cancel your subscription and stop using the service before it takes effect.
17. General terms
These Terms and any documents expressly incorporated into them form the agreement between you and Marginly about the service. If a provision is held invalid or unenforceable, the remaining provisions will continue in force. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our consent; we may transfer them as part of a business reorganisation, merger or sale. These Terms do not create a partnership, agency or employment relationship.
18. Governing law and jurisdiction
These Terms are governed by the law of England and Wales. Subject to any mandatory rights you may have under the laws of the country where you live, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or the service.

Marginly does not publish a registered office, company registration number or dedicated legal email address in this application, so none is stated here.
